SAN FRANCISCO, Oct. 29, 2026 —
DoorDash has agreed to buy Instacart for $65 a share, an equity value of about $17 billion, the two companies announced Thursday in a joint press release.
The price is a 26% premium over Instacart's closing price on Oct. 22, which the companies call "the last trading day before media reports about a possible transaction." Instacart's board unanimously approved the agreement, according to the release, which Instacart also posted on its newsroom.
The deal terms
- Cash and stock. At least 75% of the total will be paid in cash. Instacart shareholders can choose $65 in cash, 0.3372 DoorDash shares, or $48.75 in cash plus 0.0843 DoorDash shares for each Instacart share, with DoorDash stock capped at 25% of the total.
- Approvals. The companies say the deal needs Instacart shareholder approval, the end of the federal antitrust waiting period under the Hart-Scott-Rodino Act, and other regulatory approvals, including in Canada and Israel. Holders of about 19% of Instacart's shares have agreed to vote for it.
- Timing. They expect it to close "in the end of 2027 or the first half of 2028."
- Until then. "DoorDash and Instacart will continue to operate as separate and independent companies," the release says.
What the companies say changes for shoppers
According to the release, Instacart customers "could shop at more than 50,000 additional stores," and DashPass and Instacart+ members "would pay one membership fee instead of two." After closing, DoorDash "is expected to keep Instacart's brand, enterprise technology products, and app."
DoorDash also reported its third-quarter results Thursday and described the deal in its earnings release.
